Acceptance and scope

These terms of use (the “Terms”) govern your access to the sites, identity service, MY space and products operated by Northken (the “Services”). By creating an account, signing in (including with Google) or using the Services, you accept these Terms and our privacy policy (https://northken.com/privacy). Some products may have additional terms, which apply in addition to these. If you do not agree, do not use the Services. Effective version: October 5, 2026.

Eligibility

You must have the legal capacity to enter into a contract and have reached the age required in your country to consent to online services yourself (at least 14 in Quebec); otherwise a parent or guardian must consent on your behalf. If you use the Services for an organization, you represent that you have authority to bind it.

Account and security

You must provide accurate information, protect your credentials and your Google or email account, and notify us promptly of any unauthorized access. You are responsible for activity under your account. A single Northken account lets you sign in to products that accept it; we may require verification of your email address or stronger authentication to protect the account.

Acceptable use

You agree not to: use the Services for unlawful, fraudulent or deceptive purposes; infringe others’ rights (intellectual property, privacy, reputation); attempt unauthorized access to accounts, systems or data; disrupt, overload or circumvent security measures; distribute malware; scrape data at scale by automated means without our written agreement; or violate applicable laws, including export control and economic sanctions laws.

Your content

You keep your rights in the content you post or send through the Services. You grant us a worldwide, non-exclusive, limited license to host, reproduce and display it solely as needed to operate, secure and provide the Services to you. You represent that you have the necessary rights in that content and that it does not violate any law or third-party right.

Northken’s intellectual property

The Services, their code, interfaces, trademarks and documentation belong to Northken or its licensors and are protected by intellectual property laws. These Terms transfer no rights to you, except a personal, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

Third-party services, including Google

The Services may let you sign in with a third-party provider such as Google. Your use of that provider is governed by its own terms and privacy policy; we are not responsible for it. We receive from Google only the information described in our privacy policy, and you can remove that access at any time. Third-party trademarks belong to their owners.

Fees and payments

Access to certain Services or features may be paid. Prices, applicable taxes, billing periods and cancellation terms are stated at the time of purchase or in the terms of the relevant product. Unless mandatory law provides otherwise, amounts paid are non-refundable.

Availability, changes, suspension and termination

We aim to operate the Services reliably but do not guarantee uninterrupted availability; we may change them, interrupt them for maintenance or remove features. We may suspend or close an account that breaches these Terms, poses a security risk or where the law requires it, notifying you where possible. You may stop using the Services and request deletion of your account at any time, as our privacy policy explains.

Disclaimer of warranties

To the extent permitted by law, the Services are provided “as is” and “as available”, without warranty of any kind, express or implied, including as to merchantability, fitness for a particular purpose and freedom from errors. This does not limit the statutory warranties you have as a consumer and that the law does not allow to be waived.

Limitation of liability

To the extent permitted by law, Northken, its directors, employees and suppliers are not liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, data or business opportunities, and their total liability to you for any claim relating to the Services is limited to the amounts you paid Northken in the twelve months before the event, or CAD $100 if you paid nothing. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including for intentional or gross fault or for bodily or moral injury, or your consumer rights.

Indemnification

To the extent permitted by law, you agree to indemnify us against third-party claims arising from your use of the Services in breach of these Terms or the law. This clause does not apply to you if you use the Services as a consumer where the law prohibits it.

Governing law and dispute resolution

These Terms are governed by the laws in force in Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of Quebec have exclusive jurisdiction, subject to any rights that the mandatory law of your place of residence gives you, including as a consumer, to bring proceedings in the courts of that place or to rely on that law. Before any proceeding, we invite you to write to [email protected] to try to resolve the dispute amicably.

Language

The parties have expressly required that these Terms and all related documents be drafted in French (Les parties ont expressément exigé que les présentes Conditions soient rédigées en français). An English translation is provided for your convenience; if they differ, the French version prevails.

Changes to the Terms and contact

We may change these Terms; the effective-version date will change and, if the changes are significant, we will let you know before they take effect. If you keep using the Services after that date, you accept the changed Terms; otherwise, stop using them. Questions: [email protected]. Privacy: [email protected].
